Independent Mineral Consultant Agreement

This is an Agreement between Solace5 Corporation (DBA Monet Minerals, also referred to in this Agreement as the "Company") located at 2078 Shryer Ct. E, North St. Paul, MN 55109 and the aforementioned Consultant.

The Consultant understands that submitting the application and agreeing to the terms of this agreement, is only the first step in becoming a Mineral Consultant with Monet Minerals. After the application is submitted, the pending Consultant will be sent an e-mail containing a link to where they can pay their $10 non-refundable enrollment fee online. Once the Consultant has completed the Enrollment Transaction, someone from Corporate will approve their Consultant Account within 48 hours. Upon approval, Consultant will receive another e-mail as confirmation of their Consultant Account and Website being activated.

Monet Minerals reserves the right to refuse any application at any time for any reason. If the Enrollment Fee has already been paid, the transaction will be voided and the funds returned.

Monet Minerals may conduct reference checks by contacting the people listed on your application, and/or utilizing ConsultantCheck-type services.

The Enrollment Fee of $10 is a one-time fee to help cover the costs associated in administering Mineral Consultant Accounts and Websites. Unless your application was denied by the Company, the Enrollment Fee is not refundable.

The Company agrees to establish a Consultant Account and Monet Minerals Consultant Website at the time this agreement is received and accepted at the Corporate Headquarters. The Consultant, who must be at least 18 years of age, agrees that she/he is an Independent contractor for Monet Minerals. Consultant agrees he/she will be compensated under the following plan:

Level 1-Signup:
25% commission on mineral makeup sales, 5% on first-level downline makeup sales
25% commission on all other products, 5% on first-level downline sales

Level 2-After $200 in sales:
30% commission on mineral makeup sales, 6% on first-level downline makeup sales
25% commission on all other products, 5% on first-level downline sales

Level 3-After $400 in sales:
35% commission on mineral makeup sales, 7% on first-level downline makeup sales
25% commission on all other products, 5% on first-level downline sales

Level 4-After $600 in sales:
40% commission on mineral makeup sales, 8% on first-level downline makeup sales
25% commission on all other products, 5% on first-level downline sales

Level 5-After $800 in sales:
50% commission on mineral makeup sales, 10% on first-level downline makeup sales
25% commission on all other products, 5% on first-level downline sales

Commission Payments
Commissions are paid on the 3rd of the month for sales made the previous month. The minimum payout amount is $10.00. If you have not reached the $10.00 minimum, your commissions will roll over to the next month until the minimum is reached. Payments are made via Paypal (www.paypal.com).

The Consultant understands and agrees that this Agreement is subject to change from time to time (upon notification from Monet Minerals) and agrees that his/her continued selling of Monet Minerals products confirms his/her acceptance to the changes.

The Consultant understands that Monet Minerals information, including contact information regarding Consultants, Hostesses and Clients, is confidential and the property of Monet Minerals. Therefore Consultants will maintain the confidentiality of all such information.

The Consultant is responsible for submitting all orders/ monies which are due the Company within seven (7) business days after a collecting orders/monies or at the close of Mineral Show, which ever comes first. Failure to comply with this requirement may result in the closing of the Consultants Account and termination of this Agreement within ten (10) business days from receiving written notification from the Company. It could also result in collection proceedings.

The Consultant agrees that he/she is an independent business person free to conduct business according to his/her own methods while incorporating the Company recommended guidelines and procedures concerning product representations, consumer incentive programs, contests and other promotional award programs made available to the Consultant by the Company. The Consultant further acknowledges and agrees that he/she is an independent contractor and is not an agent or employee of the Company and as such, will not be treated as an employee for any Federal or State Income withholding taxes, Social Security, Workers Compensation, Unemployment Compensation or other employee types of tax purposes.

The Consultant may use the name Monet Minerals during the term of this agreement according to the terms and conditions. The Consultant must receive prior written permission from the Company in regard to use of the Company logo, trademark, and registration mark. If the Consultants account is closed, the Consultant will immediately cease using the Company's name or any other Company designations for any purpose whatsoever.

The Company and the Consultant mutually agree that providing outstanding service to our clients, is the first priority of Monet Minerals and its Consultants. Clients or Hostesses seeking service from the Company will be directed to the Active Mineral Consultant who most recently provided service. If no active Mineral Consultant can be identified with this Client or Hostess, the Client or Hostess will be referred to the nearest Active Mineral Consultant available. If the Clientr or Hostess was dissatisfied with the past service provided, or the Consultant is inactive with the Company, Monet Minerals will refer the Client or Hostess to the Mineral Consultants' sponsor or Team Leader or to the Consultant Training Manager.

The Consultant will not engage in any unlawful or unfair business practices, and will present Monet Minerals and its products in a truthful and honest manner. The Mineral Consultant will positively promote Monet Minerals at all times.

The Consultant agrees that any ideas and/or personal photos submitted to the company are done so with permission to use and without the expectation of remuneration from the Company unless so stated in writing at the time of submission.

The Consultant's association as an independent contractor with Monet Minerals will remain in effect until termination of this Agreement. Termination of this Agreement may occur at any time by either party for any reason.

This Agreement shall become effective when agreed to electronically by the Consultant.
